Effective Date: This Terms-of-Use Agreement (the “Agreement”) was last updated on June 10, 2015, and is effectively immediately on posting the Agreement to the Website. Please visit these terms every visit to the website to make sure they have not changed and that you still agree to them by accessing this site. This Agreement (the “Agreement”) sets forth the standards of use of the EFPN (Effectual Fervent Prayer Network), LLC (“EFPN”) online service (the “Service”) and the website located at www.efpn.com (the “Website”). By accessing or using the Service or the Website, you, as a user of or visitor to the Website or a user of the Service, agree to the terms and conditions set forth herein, which shall constitute a legally binding agreement between you and EFPN. If you do not agree to the terms and conditions of this Agreement, you should immediately cease all use of the Service and the Website. You should review this Agreement regularly, as EFPN reserves the right, at any time, to modify, alter, or update the terms and conditions of this Agreement without prior notice. Modifications shall become effective immediately on being posted on the Website. Your continued use of the Service or the Website after amendments are posted constitutes an acknowledgement and acceptance of the Agreement and its modifications. Except as provided in this paragraph, this Agreement may not be amended.
EFPN provides users of its Service with prayer-tracking/processing services. You, as a user of the Service, must (1) provide all equipment necessary for your own Internet connection, including computer and modem; (2) provide for your members’ access to the Internet; and (3) pay any fees related to such connection.
The Website is provided by EFPN on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, EFPN makes no representations or warranties of any kind, express or implied, regarding the use or the results of this Website in terms of its correctness, accuracy, reliability, or otherwise. EFPN shall have no liability for any interruptions, errors, computer viruses or other harmful components in the use of this Website if known or unknown by EFPN. EFPN DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES WITH REGARD TO ITS SERVICE, THE WEBSITE AND THE INFORMATION PROVIDED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND WARRANTIES OF NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES. IN THOSE JURISDICTIONS, EFPN’S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
IN NO EVENT SHALL EFPN OR ANY OF ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, AFFILIATES, SPONSORS, PARENTS, SUBSIDIARIES, AFFILIATES OR SERVICE PROVIDERS be liable for any direct, indirect, special, consequential, incidental, exemplary or punitive damages, or damages for lost profits, loss of revenue, or loss of use, arising out of or related to this website or the information contained in it, OR THE INABILITY TO USE THE WEBSITE, whether such damages arise in contract, negligence, tort, under statute, in equity, at law, or otherwise, even if EFPN OR ITS REPRESENTATIVES haVE been advised of the possibility of such damages. You agree to indemnify and hold EFPN and its directors, officers, employees, agents, representatives, affiliates, sponsors, parents, subsidiaries, affiliates and service providers harmless from any claim or demand, including reasonable attorneys’ fees and costs, made by any third party due to or arising out of your use of the Service, the violation of this Agreement, or infringement by you, or other user of the Service using your computer, of any intellectual property or any other right of any person or entity. You will cooperate as fully as reasonably required in the defense of any claim. EFPN reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you will not in any event settle any such matter without EFPN’s written consent.
EFPN reserves the right to modify or discontinue the Service with or without notice to you. EFPN shall not be liable to you or any third party should EFPN exercise its right to modify or discontinue the Service. You acknowledge and accept that EFPN does not guarantee continuous, uninterrupted or secure access to the Website, and operation of the Website may be interfered with or adversely affected by numerous factors or circumstances outside of EFPN’s control.
The Website may include links to other sites on the Internet that are owned and operated by online merchants and other third parties. You acknowledge that EFPN is not responsible for the availability of, or the content located on or through, any third-party site. The Website is operated and provided in the State of Minnesota. As such, EFPN is subject to the laws of the State of Minnesota. Any legal issues arising from or related to your use of or visit to this Website or use of the Service shall be construed in accordance with, and all questions with respect thereto shall be determined by, the laws of the State of Minnesota applicable to contracts entered into and wholly to be performed within Minnesota. The state and federal courts of Dakota County, Minnesota, shall be the exclusive forum and venue to resolve disputes arising out of or relating to this Agreement, the use of or visit to the Website, or the use of the Service. By using this Website, and thereby agreeing to this Agreement, you consent to personal jurisdiction and venue in the state and federal courts in Dakota County, Minnesota, with respect to all such disputes. EFPN makes no representation that the Website or Service is appropriate, legal or available for use in other locations. Accordingly, if you choose to access the Website, you agree to do so subject to the internal laws of the State of Minnesota.
You assume all knowledge of applicable law and are responsible for compliance with all such laws. To be effective, the notification must be in writing and include the following:
EFPN retains the right, at its sole discretion, to terminate any accounts involved with botnets and related activities. If any hostnames are used as command and control points for botnets, EFPN reserves the right to direct the involved hostnames to a honeypot, loopback address, logging facility, or any other destination at EFPN’s discretion.
If any provision of this Agreement shall be unlawful, void or unenforceable for any reason, the other provisions (and any partially enforceable provision) shall not be affected thereby and shall remain valid and enforceable to the maximum possible extent. You agree that this Agreement and any other agreements referenced herein may be assigned by EFPN, in its sole discretion, to a third party in the event of a merger or acquisition. This Agreement shall apply in addition to, and shall not be superseded by, any other written agreement between EFPN and you in relation to your participation as a user of the Service or the Website. You agree that by accepting this Agreement, you are consenting to the use and disclosure of your personally identifiable information and other practices described in EFPN’s Privacy Policy Statement. EFPN’s failure to insist on or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right.
